The term of offi ce of Mr. Li Chunyu, an employee supervisor of Bank of China Limited (“BOC” or the “Bank”), has expired, and he has ceased to be an employee supervisor of the Bank with effect from 19 August 2012.
On 19 August 2012, the employee representatives’ meeting of the Bank elected Mr. Liu Xiaozhong and Ms. Xiang Xi as employee supervisors of the Bank.
The Board of Supervisors of the Bank hereby formally announces: with effect from 19 August 2012, Mr. Liu Xiaozhong and Ms. Xiang Xi were elected as employee supervisors of BOC, while Mr. Li Chunyu retires from the post of employee supervisor of BOC.
Biographies of the new employee supervisors of the Bank are as follows:
Liu Xiaozhong, aged 56, is currently Executive Deputy Director of the Labor Union Working Committee of BOC. He previously held the following posts in the Bank: General Manager (in charge of SME business) of the Corporate Banking Unit of the Head Offi ce of the Bank from July 2008 to May 2011; Deputy General Manager of the Credit Management Department of the Head Offi ce of the Bank, Deputy General Manager of the Risk Management Department of the Head Offi ce of the Bank, Deputy Head and Head of Shanxi Branch from October 1998 to July 2008. From July 1983 to October 1998, he was cadre and Deputy Director of the Aerospace Industry Ministry, Deputy Director
and Director of Aerospace Materials Supply and Marketing Corporation, Deputy Manager of the Fixed Assets Investment Department and Deputy Director General of the Capital Construction Bureau of Aerospace Industry Corporation. Mr. Liu Xiaozhong graduated from the Glass Fiber Reinforced Plastics Department of Harbin Construction Engineering College in 1983.
Xiang Xi, aged 40, is currently Deputy Head and Chief Financial Offi cer of Suzhou Branch of BOC. She previously held the following posts in the Bank: member of the CPC Committee, Deputy Head and Chief Financial Offi cer of Suzhou Branch from July 2005 to March 2010; Assistant to Head of Suzhou Branch from March 2003 to July 2005; Deputy Head and Head of High-tech Industrial Development Zone Sub-branch of Suzhou Branch from October 2000 to July 2005; cadre, deputy group chief, section chief and Deputy Head of the International Trade Settlement Division of Suzhou Branch from July 1993 to October 2000. Ms. Xiang graduated from the Department of English of East
China University of Science and Technology in 1993, and obtained an MBA Degree jointly conferred by Fudan University and University of Washington in December 2004.
Mr. Liu Xiaozhong and Ms. Xiang Xi are appointed as the employee supervisors for a term of three years ending on the date of the employee representatives' meeting of the Bank to be held in 2015. Mr. Liu Xiaozhong and Ms. Xiang Xi will each receive RMB50,000 (before tax) per annum as employee supervisor’s subsidy from the Bank. In addition, each of them will receive emoluments for their respective position in the Bank, including salary, bonus and allowance. Such emoluments are determined with reference to the staff remuneration policy of the Bank.
Based on the knowledge of the directors of the Bank and save as disclosed above, Mr. Liu Xiaozhong and Ms. Xiang Xi did not hold any directorships in the last three years in public companies the securities of which are listed on any securities market in Hong Kong or overseas, nor did they hold any other position with the Bank or any of its subsidiaries, and are not related to any director, supervisor, senior management member or substantial or controlling shareholders of the Bank. Each of Mr. Liu Xiaozhong and Ms. Xiang Xi does not have any interests in the shares of the Bank or its associated companies within the meaning of Part XV of the Securities and Futures Ordinance of Hong Kong as at the date of this announcement.
Furthermore, save as disclosed above, there is no information which needs to be disclosed pursuant to Rules 13.51(2) (h) to (v) of the Rules Governing the Listing of Securities on The Stock Exchange of Hong Kong Limited, nor are there other matters which need to be brought to the attention of the shareholders of the Bank in respect of the appointments of Mr. Liu Xiaozhong and Ms. Xiang Xi.
Mr. Liu Xiaozhong and Ms. Xiang Xi have never been penalized by the China Securities Regulatory Commission (CSRC) or other relevant authorities or by any stock exchanges. Mr. Li Chunyu has confi rmed that he has no disagreement with the Board of Supervisors of the Bank and that there are no matters with respect to his retirement which need to be brought to the attention of the shareholders of the Bank or the employee representatives’ meeting of the Bank. The Board of Supervisors of the Bank is grateful to Mr. Li Chunyu for his contribution to the Bank during his term of offi ce, and welcomes Mr. Liu Xiaozhong and Ms. Xiang Xi to the Board of Supervisors of the Bank.
